This document was prepared on October 7, 2026 for review by the operator and legal counsel and has not been reviewed yet. It describes how the product works today, and its terms may change before launch.

These terms govern the use of Studioflow by studios and the people they invite. They are written for businesses; the service is not intended for consumers.

Agreement

By creating a workspace, or by using Studioflow on behalf of a studio, you agree to these terms for that studio and confirm that you are allowed to do so.

If a studio invites you to its workspace, that studio decides your access and is responsible for how you use the workspace.

The service

Studioflow is an operations tool for studios: time tracking, projects and scope, planning, approvals, expenses, estimates, invoicing, client payments and reports.

It is not an accounting, payroll, legal or tax service. Forecasts, margins and other figures are management information based on the data entered, not accounting statements or advice.

The sample studio contains fictional data. It never sends email, takes payments or connects to other services.

Accounts and access

  • People sign in with their own Google account. Each account is for one person and must not be shared.
  • Keep your Google account secure, and tell us promptly if you suspect someone else has used your access.
  • Workspace owners manage roles and access. Every workspace keeps at least one active owner.

Plans and seats

Plans and their prices are listed on the pricing page. The prices shown are a proposed configuration and may change before launch.

  • Active internal people use a seat: owners, admins, finance, project leads, members and contractors who track time.
  • Client guests and pending invitations never use a paid seat.
  • Every workspace keeps at least one paid seat.
  • Adding internal access needs an available seat or an explicit, previewed seat purchase.

Trial

Each workspace can start one 14-day trial of Studio, without a card. When the trial ends, the owner chooses a plan, or the workspace moves to restricted access: records stay available to read and export, and creating new work is paused until a plan is chosen.

Fees, billing and taxes

  • Subscriptions are charged per internal seat, in USD, in advance, monthly or annually, through Stripe.
  • An annual subscription is charged once for twelve months: the annual per-seat monthly price, times twelve, times the number of seats.
  • Prices exclude taxes. Sales tax or VAT is added where it applies.
  • Adding seats during a period is previewed before you confirm it, including any prorated amount.
  • If a payment fails, the workspace owner is told, and access may be restricted after a grace period. Records are not deleted because of a failed payment.

Plan changes and cancellation

  • Upgrades can take effect immediately, with a proration preview before you confirm.
  • Downgrades and seat reductions apply at renewal. Features outside the new plan become read-only; nothing is deleted.
  • Cancelling stops renewal at the end of the paid period. Fees already paid are not refunded, except where the law requires it or we agree otherwise in writing.

Client payments

  • Studios that take online payments connect their own Stripe account. Stripe’s terms apply to that account, and the studio is the merchant.
  • Studioflow adds no surcharge to client payments. Processing fees are set by Stripe in the studio’s account.
  • Each studio is responsible for its invoices, the taxes on them and its agreements with its clients. Studioflow is not a party to those agreements.

Your content

  • The studio owns the content in its workspace.
  • The studio allows us to host, process and display that content only as needed to provide the service, and we use it for nothing else.
  • Owners can export workspace records at any time while the workspace exists, including during restricted access.
  • Our handling of personal data is described in the privacy policy.

Acceptable use

  • Do not use the service for anything unlawful, or to store content you have no right to use.
  • Do not try to access other workspaces, get around permissions, or probe, scan or load-test the service without our written agreement.
  • Do not use invitations, invoices or other product emails to send unsolicited messages.
  • Do not resell the service, or copy or reverse engineer it except where the law allows.

Optional connections

Connections to other services, such as calendars, Slack, task tools and accounting software, are optional and need to be set up before they do anything. They are also governed by those providers’ terms, and we are not responsible for services we do not operate.

Availability and changes

We work to keep the service available and reliable, but we do not currently offer a service level agreement or an uptime guarantee. We may change and improve features, and we give notice before removing a significant feature from a paid plan.

Disclaimers

Except as stated in these terms, the service is provided as is. Figures such as forecasts, margins and utilization depend on the data entered and are estimates to inform your decisions, not guarantees.

Limitation of liability

As far as the law allows, neither party is liable for indirect or consequential losses, such as lost profits or lost data, and each party’s total liability under these terms is limited to the fees paid for the service in the twelve months before the claim. These limits do not apply where the law does not allow them to.

Ending the agreement

  • Owners can cancel at any time; cancellation takes effect at the end of the paid period.
  • We may suspend or end access for serious or repeated breaches of these terms, with notice where we can give it.
  • Before a workspace is deleted, owners can export its records. Deleting a workspace is permanent, except for records the law requires us to keep.

Governing law

The governing law and the courts for disputes will be stated here once the operating entity is confirmed during the review noted at the top of this page.

Changes to these terms

When these terms change, the dates at the top of this page are updated. For significant changes, workspace owners are told in advance in the product or by email.
